中星微宣布合并完成

北京,2015年12月18日星期五--中星微电子(NASDAQ: VIMC)(“中星微”或“公司”),一家纳斯达克上市的安防技术和解决方案提供商,今天宣布根据此前公布的公司与Vimicro China (Parent) Limited(“母公司”)和其全资子公司Vimicro China Acquisition Limited(“合并子公司”)于2015年9月15日签署的协议和合并计划(“合并协议”,于2015年11月3日修订)而进行的合并已经完成。此合并完成后,中星微已终止作为一家上市公司,并成为母公司的全资子公司。

公司今天同时宣布其已要求暂停公司的ADS在纳斯达克全球市场(“纳斯达克”)的挂牌交易。公司已要求纳斯达克向美国证券交易委员会(“SEC”)提交表格25以通知SEC其ADS从纳斯达克摘牌退市并注销公司的注册证券。公司计划向SEC提交表格15以暂停其在1934年美国证券交易法及其修订下的披露义务。公司向SEC提交若干报告及表格(包括表格20-F及表格6-K)的义务将于提交表格15的当日暂停并将于公司的注册证券注销生效时终止。
